1. Introduction

These Terms of Service govern your use of the VentroX Tech website and any services provided by VentroX Tech ("we", "us", "our"). VentroX Tech is a software development agency based in Surat, Gujarat, India.

2. Services

VentroX Tech provides the following software development services:

• Web development (Next.js, React, full-stack applications)
• Mobile app development (React Native, cross-platform)
• AI automation systems (LangChain, custom AI workflows)
• Project-based software engagements

All services are delivered on a project basis with scope, timeline, and pricing agreed upon before work begins.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete project requirements
• Give timely feedback and approvals to avoid project delays
• Make payments as per the agreed milestone schedule
• Ensure you have the rights to any content, assets, or materials you provide to us
• Designate a primary point of contact for project communication

4. Intellectual Property

Ownership of Deliverables

Upon receipt of full payment, the client owns all custom code, designs, and deliverables created specifically for their project. Ownership transfers only after all outstanding payments are settled.

Portfolio Rights

VentroX Tech retains the right to showcase completed work in our portfolio and marketing materials unless the client requests confidentiality in writing prior to project commencement.

Third-Party Libraries

Open-source libraries, frameworks, and third-party tools used in your project remain under their respective licences. We will disclose all major dependencies used.

5. Payment Terms

• All projects are priced on a fixed-scope or milestone basis, agreed in writing
• Payments are structured in milestones tied to project deliverables
• A deposit (typically 30–50%) is required before work begins on any new project
• Invoices are due within 7 days of issue unless otherwise agreed
• Late payments may result in work being paused until the outstanding balance is cleared

6. Limitation of Liability

VentroX Tech is not liable for any indirect, incidental, special, or consequential damages arising from the use of our services or deliverables, including but not limited to loss of revenue, data, or business opportunities.

Our maximum liability in any circumstance is capped at the total value of the project payment received from the client for the specific engagement in question.

7. Confidentiality

We treat all client information, project details, and business data as confidential. We do not share client information with third parties except as required to deliver the project (e.g., hosting providers).

Formal Non-Disclosure Agreements (NDAs) are available on request before any project discussions begin.

8. Termination

Either party may terminate a project engagement with 14 days written notice. Upon termination:

• Payment is due for all work completed up to the termination date
• Deliverables completed and paid for will be handed over to the client
• Work in progress that has not been paid for remains the property of VentroX Tech

9. Governing Law

These Terms of Service are governed by the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Surat, Gujarat, India.
